1. Acceptance of Terms
By registering for or using the YES Platform ("Platform"), you agree to be bound by these Terms of Service and Commercial Terms (together, "Terms"). If you are registering on behalf of a company, you represent and warrant that you have full authority to bind that company to these Terms. If you do not agree to these Terms in full, you must not use the Platform.
2. Platform Description and Scope
YES — Your Export Solutions — is a B2B marketplace connecting food and beverage brands ("Brands") with importers and distributors ("Distributors") operating in Asia Pacific markets. The Platform provides matching, deal management, document management, messaging, and related tools to facilitate commercial relationships between members. YES acts as an intermediary only and is not a party to any transaction concluded between Brands and Distributors.
3. User Obligations
All users must: (a) provide accurate, current, and complete information during registration and maintain it up to date; (b) not misrepresent their business, products, certifications, or capabilities; (c) comply with all applicable laws and regulations in their jurisdiction and in any market they seek to enter; (d) maintain the confidentiality of their account credentials and notify YES immediately of any unauthorised access; (e) not use the Platform to transmit spam, malware, or unlawful content; and (f) not engage in any conduct intended to circumvent Platform fees, bypass Platform processes, or extract contact details for use outside the Platform.
4. Commercial Terms — Commission
YES charges a success-based commission on confirmed orders facilitated through the Platform. The current commission rate is 3% of the Free On Board (FOB) value of each confirmed order. Commission is payable by Brands only; Distributors do not pay commission or platform fees. Commission becomes payable upon order confirmation and is invoiced monthly. YES reserves the right to adjust the commission rate with 30 days' written notice to active users. Per-deal commission rate overrides may be applied by YES at its discretion, and will be displayed in the relevant deal workspace.
5. Commercial Terms — Rolling 24-Month Tracking Period
The commission obligation applies on a rolling basis. The tracking period is 24 months from the date of the most recent confirmed order between a Brand and Distributor pair that was first connected through the Platform. Each new confirmed order resets the 24-month window. This means that a commercial relationship that produces regular orders may be subject to commission indefinitely, so long as orders continue. The tracking period does not apply to commercial relationships that pre-dated the registration of both parties on the Platform, provided this is declared in writing to YES at the time of registration.
6. Off-Platform Transaction Reporting
Users who conduct or receive a confirmed order with a counterparty introduced through the Platform, but processed outside the Platform, must notify YES in writing within 7 calendar days of that order being confirmed. Notification must include the order date, counterparty name, FOB value, and product description. Failure to report within 7 calendar days constitutes a breach of these Terms and entitles YES to invoice the applicable commission plus an administrative surcharge of 25%. Reporting obligations apply during the 24-month tracking period described in Section 5.
7. Anti-Bypass Policy
Users who make contact with a counterparty through the Platform agree not to conduct business with that counterparty outside the Platform during the 24-month tracking period, except with YES's prior written consent. Breach of this provision entitles YES to invoice the applicable commission on all transactions that would have been subject to commission had they been conducted on the Platform, plus legal costs associated with enforcement. Repeated or deliberate bypass attempts may result in permanent account suspension and civil proceedings.
8. Contact Details and Information Sharing
Direct contact details (email addresses, phone numbers, WhatsApp numbers) of counterparties will not be made available through the Platform until after a first confirmed order has been completed between the parties. Prior to that point, all communication must take place via the Platform's messaging tools. This restriction exists to protect the integrity of the commission model and the interests of all Platform members.
9. Prohibited Conduct
The following conduct is strictly prohibited and may result in immediate account suspension and legal action: (a) circumventing the Platform to conduct business with a Platform-introduced counterparty outside the Platform; (b) misrepresenting the nature, origin, certifications, or value of products; (c) extracting contact details of other users through any means other than the Platform's authorised sharing process; (d) creating multiple accounts to avoid restrictions or obligations; (e) submitting false, expired, or forged certification documents; (f) using the Platform for any unlawful purpose or in any way that could damage YES's reputation or business.
10. Intellectual Property
Users retain ownership of their own content (company descriptions, product listings, uploaded documents, and trade marks). By uploading content to the Platform, you grant YES a non-exclusive, worldwide, royalty-free licence to use, display, and distribute that content solely for the purpose of operating and promoting the Platform. YES owns all rights in the Platform software, matching algorithms, ranking systems, and any aggregated or anonymised data derived from Platform usage.
11. Data Handling and Privacy
YES collects and processes personal and business data as described in our Privacy Policy, available at globalexport.network/privacy. By using the Platform, you consent to that processing. You are responsible for ensuring that any personal data you share with counterparties via the Platform is shared with a lawful basis and in compliance with applicable data protection laws, including the GDPR where applicable and relevant ASEAN data protection frameworks.
12. Certification Verification
Certifications displayed on the Platform (Halal, HACCP, FDA, business registration certificates, and others) are submitted by users and reviewed by YES staff on a reasonable-efforts basis. YES does not independently warrant the authenticity of any certificate and is not liable for losses arising from reliance on unverified or incorrectly verified certifications. Users who submit false, expired, or forged certificates may be permanently banned and may be referred to relevant regulatory authorities.
13. Limitation of Liability
To the maximum extent permitted by applicable law, YES shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or from any commercial relationship formed through it, including but not limited to loss of profits, loss of goodwill, or loss of anticipated savings. YES's total aggregate liability for any claim shall not exceed the total fees paid by you to YES in the three months preceding the claim.
14. Account Suspension and Termination
YES may suspend or terminate accounts for breach of these Terms, fraudulent or deceptive activity, submission of false documents, extended inactivity (exceeding 18 months), or at its reasonable discretion with 14 days' written notice. Users may terminate their accounts at any time by contacting support. Upon termination, your right to use the Platform ceases immediately, but any outstanding commission obligations, reporting obligations, or subscription fees remain payable in full.
15. Dispute Resolution
In the event of a dispute arising under or in connection with these Terms, the parties agree to first attempt resolution through good-faith negotiation for a period of 30 days from written notice of the dispute. If the dispute is not resolved within that period, either party may refer the matter to mediation administered by the Singapore International Mediation Centre (SIMC). If mediation fails, the dispute shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) under the SIAC Rules. The seat of arbitration shall be Singapore. The language of arbitration shall be English.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles. Subject to the dispute resolution process in Section 15, the parties submit to the non-exclusive jurisdiction of the courts of Singapore.
17. Changes to These Terms
YES may update these Terms from time to time to reflect changes to our commercial model, legal requirements, or platform features. Material changes will be notified by email and by a notice displayed in the Platform dashboard at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms. Where we are required to obtain fresh consent, we will present a mandatory acceptance prompt on your next login.
